1. About these terms
These Terms govern business use of the One Big Team HR software service. The service is supplied by Crazy Cat Software Limited, trading as One Big Team, registered in England and Wales under company number 15029972, with its registered office at 2nd Floor, Market House, Market Square, Aylesbury, Buckinghamshire HP20 1TN.
By creating an account, purchasing a subscription or using the service on behalf of an organisation, you confirm that you have authority to bind that organisation (the Customer) to these Terms. The service is intended for business use and is not offered to consumers acting wholly or mainly outside their trade, business, craft or profession.
2. The service
One Big Team provides cloud-based HR, recruitment and workforce-management software. The Customer may permit its authorised personnel to use the service in accordance with these Terms.
We may improve or change the service over time. We will not materially reduce the core functionality of a paid subscription during its current subscription period without reasonable notice, except where a change is needed for security, legal compliance or to prevent harm.
3. Trials
Where offered, a free trial lasts for the period stated at registration and does not require payment-card details. Trial features, capacity or support may be limited. At the end of the trial, access may be restricted unless the Customer starts a paid subscription. We may end or refuse a trial where reasonably necessary to prevent misuse.
4. Accounts and authorised users
The Customer is responsible for:
- Providing accurate registration and billing information;
- Ensuring users are authorised and use individual accounts;
- Assigning appropriate permissions and promptly removing access that is no longer required;
- Protecting credentials and notifying security@onebigteam.co.uk promptly of suspected compromise; and
- All activity carried out through its accounts, except to the extent caused by One Big Team's breach of these Terms.
Accounts and credentials must not be shared between individuals.
5. Fees, billing and taxes
Subscription fees are calculated and billed as shown on the Pricing page, at checkout or in an agreed order. Prices exclude VAT and similar taxes unless stated otherwise. The Customer authorises our payment provider to collect amounts due using its selected payment method.
Subscriptions renew for successive billing periods unless cancelled before the next renewal date. We may change prices by giving reasonable advance notice, with the change taking effect no earlier than the next renewal after the notice period. Except where required by law or expressly agreed, fees already paid are non-refundable.
We may restrict paid features or suspend the service following reasonable notice if an undisputed payment remains overdue.
6. Customer data and data protection
As between the parties, the Customer retains its rights in information, documents and other content submitted to the service (Customer Data). The Customer authorises One Big Team to host, copy, transmit, back up and otherwise process Customer Data only as needed to provide, secure and support the service and comply with law.
The Customer is responsible for the accuracy, quality and lawfulness of Customer Data and for giving any notices and obtaining any rights or lawful bases required to use it. The Data Processing Agreement forms part of these Terms where One Big Team processes personal data for the Customer.
We do not acquire ownership of Customer Data and will not sell it.
7. Acceptable use
The Customer and its authorised users must comply with our Acceptable Use Policy, which forms part of these Terms.
8. Our intellectual property
One Big Team and its licensors retain all rights in the service, software, branding and documentation other than Customer Data. Subject to payment of applicable fees and compliance with these Terms, we grant the Customer a limited, non-exclusive, non-transferable right for its authorised users to access the service during the subscription.
Feedback may be used to improve the service without restriction, but we will not identify the person or Customer who provided it without permission.
9. Third-party services
The service relies on third-party providers for functions such as hosting, authentication, storage, email and payments. Our current providers are listed on the Subprocessors page. Third-party services may occasionally affect availability, and separate terms may apply where the Customer chooses to connect an optional third-party service.
10. Availability and support
We will use reasonable care and skill to provide the service and aim to meet any availability target we publish. The service may be unavailable during planned maintenance, emergency maintenance or events outside our reasonable control. Unless expressly agreed in writing, availability targets are objectives and not service-level guarantees carrying service credits.
Support requests may be sent through the contact methods made available in the service or at hello@onebigteam.co.uk.
11. Suspension
We may suspend access where reasonably necessary to address a security risk, unlawful activity, material breach, overdue undisputed fees or a threat to the service or others. Where practicable, we will give notice and an opportunity to remedy the issue. We will limit the suspension to what is reasonably necessary and restore access when the reason has been resolved.
12. Cancellation and termination
The Customer may cancel at any time. Unless stated otherwise at purchase, cancellation takes effect at the end of the current paid billing period and prevents further renewal.
Either party may terminate immediately if the other materially breaches these Terms and, where the breach can be remedied, fails to remedy it within 30 days after written notice. Either party may also terminate if the other becomes insolvent or ceases business, subject to applicable law.
After cancellation or termination, the Customer will have a 30-day recovery period in which an authorised administrator may access available self-service exports and may request assistance returning other Customer Data. Ordinary access will then be disabled and Customer Data will enter the controlled deletion process described in the DPA. Provisions intended by their nature to continue—including payment obligations, confidentiality, intellectual property, liability and governing law—survive termination.
13. Confidentiality
Each party will protect the other's confidential information using reasonable care and use it only to perform or exercise rights under the agreement. This does not cover information that is public through no breach, already lawfully known, independently developed or lawfully received without restriction. A party may disclose confidential information where legally required, giving advance notice where lawful and practicable.
14. Warranties and disclaimers
Each party warrants that it has authority to enter into the agreement. One Big Team warrants that it will provide the service with reasonable care and skill.
The Customer remains responsible for employment decisions, legal compliance and verifying outputs, reports and configurations. The service does not provide legal, tax, accounting, medical or professional HR advice. Except as expressly stated and to the fullest extent permitted by law, implied warranties and conditions are excluded.
15. Liability
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any liability that cannot lawfully be excluded or limited.
Subject to that exception, neither party is liable for indirect or consequential loss, or for loss of profit, revenue, anticipated savings, goodwill or business opportunity. One Big Team's total aggregate liability arising from the service in any 12-month period will not exceed the fees paid or payable by the Customer for the service during the 12 months immediately preceding the event giving rise to the claim.
The exclusions and cap apply to the fullest extent permitted by law across contract, tort (including negligence), breach of statutory duty and other causes of action.
16. Changes to these Terms
We may update these Terms to reflect changes to the service, law, security or our business. We will give reasonable advance notice of a material change. A material change will normally take effect at the next subscription renewal unless it is required sooner by law or security. Continued use after the effective date constitutes acceptance; if the Customer does not agree, it may cancel before the change takes effect.
17. General
Neither party is liable for delay caused by events beyond its reasonable control, except for payment obligations. The Customer may not assign the agreement without our written consent, not to be unreasonably withheld. We may assign it as part of a genuine merger, reorganisation or sale of our business, provided the assignee continues to honour these Terms.
If any provision is unenforceable, the remaining provisions continue. A delay in enforcing a right is not a waiver. These Terms, the documents incorporated into them and any agreed order form are the entire agreement concerning the service. No person other than the parties has a right to enforce these Terms under the Contracts (Rights of Third Parties) Act 1999.
18. Governing law and contact
These Terms and any non-contractual dispute are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction.
Questions about these Terms may be sent to hello@onebigteam.co.uk.
